Please read these Terms and Conditions (“Terms”) carefully. This Agreement is operated by Lazio Sofa (herein referred to as the Website), its subsidiaries, affiliates, associated companies and jointly controlled entities (collectively known as “Company”, “we”, “us” or “our”). By entering into this Agreement, the Buyer (herein referred to as “You”, “Your”) agree that: 

 

(i) you are 18 years old and above, and capable of performing your obligations hereunder;

(ii) you have read, understood and accepted the Terms including any additional conditions and policies.

 

Lazio Sofa, its products, services and platform may undergo changes over time. New features, services and products may be introduced and utilized on our Website. You agree that the Company may use the services of third party providers. We may supply information about the services and products on our Website to the third party providers. You agree that you will read and understand the terms and conditions, notices and updates carefully before purchasing products and using services on our Website. 

 

Where the services or products supplied by the third party providers is applicable, you agree that the responsibility and the liability in relation to such services or products providers is borne by the third party providers. We may also suspend, modify, discontinue or restrict certain parts of your access to www.laziosofa.com. You agree it is your responsibility to check the Terms and updates that may impact you from time to time. Your continuous usage after the implementation of such updates shall and will constitute your consent to such changes. You agree that the Company reserves the right to modify, change, alter and remove any parts of the Terms without prior notification. By accessing and using the services and the Website offered by the Company, you hereby agreed that you will be bound by these Terms. If you do not agree to the Terms, please do not use or access our services or the Website. 

 

Provision of Services by Lazio Sofa

We offer you general services which includes:

• order processing
• customer service 
• website maintenance both scheduled and non-scheduled to improve the overall usage 
• other services that may be offered to you from time to time

You agree that the Company shall have the exclusive right to substitute, remove, modify, enhance or upgrade part or all of the service or Website features at any time at its absolute discretion without any notice to the Buyer and the you shall have no right to object to such substitutions, removals, modifications, enhancements and/or upgrades made to the services or the Website.

 

Obligations and Responsibilities of the Buyer

We grant you a revocable, non-exclusive, non-transferable, limited permission to use and access the products and services made available on the Lazio Sofa website. The Seller agrees and accepts that you are not allowed to: 

• transmitting or posting defamatory, vulgar, obscene, sneaky, vilify, coercive, fake, or threatening statement to other users or third parties;
• modify, adapt, disassemble, decompile, reverse engineer, decrypt or attempt to derive and code or extract software from this Website or reproducing any part of the Website, whether by yourself or allowing third parties to do so;
• must not infringe or copy any copyright, trademark or any other intellectual property of Lazio Sofa without obtaining the prior consent of the owner of such proprietary rights;
• delete or amend the right management information, which is an information attached or shown in contents or any works in the Website to identify the author of the work, the work, or the copyright owner such as company’s name, author’s name, watermark, number or code, etc., as well as disseminating any contents or works whose right management information had been deleted or amended in the Website;
• reproduce, reprint, download, upload, post or issuing notice to the public of illegal or immoral works without prior written permission by Lazio Sofa;
• publish any statement onto the Website that is expressed or implied to be sponsored or endorsed by Lazio Sofa without prior written permission;
• download, upload, post a notice, send an Email, or do anything that would interrupt or intervene the process of computer system by transmitting computer virus or computer program in any forms that are designed to obstruct, destroy, or limit the operation of computer system, computer hardware, or communication software of Lazio Sofa users, internet users, and/or third parties;
• use computer software to obstruct, intervene, or disturb the operation or services of Lazio Sofa or our third party computer or computer system such as the use of Trojan Horse, Time Bombs or any harmful viruses.  
• intentionally attempt to heavily load to the Website that may be harmful to the service of the Website without reasonable cause. 

Products

All products available on our Website may have limited stock or may be available for a specific period of time. These products may have limited quantities or may be discontinued at our full discretion.  We reserve the right to limit the sales of these products or remove or change them without prior notice. Though we make every effort to display colours and images of our products on our Website, we cannot guarantee that each computer’s monitor display of colour may be accurate. We do not warrant that the services, product information, prices or other contents meet your expectations. We reserve the right to correct at any time any errors or inaccuracies in relation to product pricing, offers, promotions, shipping charges and availability without prior notification to our buyers. 

 

Payment

You hereby agree that the account and billing information including your credit details are accurate so that we can complete your transactions. You agree that all product prices stated on our website are final. We reserve the right to reject your order, or limit the quantity per buyer or cancel any quantities purchased by the buyer. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. All payments must be made by either credit card, debit card or bank transfer. We do not engage any agents to cash payment or money transfer to individual accounts. 

 

Shipping 

The delivery of your order is approximately 14 working days. Please note that we work with third party logistic partners. It is your duty to comply with the Covid-19 protocols in handling the delivery of your order by our partners. It is your duty to check the status of your delivery order. Lazio Sofa will not be held liable for any delay caused by our third party logistic partners. 

 

Refunds/Returns

All online purchases are final and we do not allow returns or exchanges. Customers will have 72 hours after the delivery of an online order to report to us if they found the item(s) to have been damaged or with manufacturing defects. As such, please refer to our Warranty Policy for the manufacturer’s warranty coverage information. Please note that all returns or exchanges are subject to Lazio Sofa’s full discretion. We may request for descriptions of the defects or damage as well as images of the item(s) to determine the current condition prior to accepting the returns. Products that are not within our delivery zone will not be eligible for return. Individually purchased parts (not purchased as part of the entire sofa) such as seats, arms, legs, couch cushions, cushion fabrics are not eligible for returns.  In the event a return or exchange product is approved by our management, all item(s) must be in a new or unused condition and returned with full accessories and parts packed in its original packaging to prevent damage during return shipping. Item(s) that are on Clearance Sale cannot be returned unless they are delivered damaged. Returned item(s) will be inspected by our team before any appropriate refunds can be issued. With the exception of damaged or defective merchandise, shipping, delivery, and handling charges are nonrefundable, and return shipping fees will be borne by the purchaser. Please allow a minimum 2 weeks following the receipt of the return items for any refunds to be carried out. Payments methods will be subject to the Company’s discretion.  

 

Promotions

Lazio Sofa may conduct promotional campaigns which includes but not limited to vouchers, coupon codes, discounts and other offers to be used to encourage more Users to use the Website. Lazio Sofa reserves the right to remove, modify or suspend the campaigns without 

 

Confidentiality

You hereby consent to the Company processing your personal data for the purposes as stated in the Privacy Policy. You agree that the information you have submitted to us during your registration as a Buyer on our Website may be linked to the course of carrying out services available on our platform. You hereby give your consent to such transfer and storage of information for the purposes of facilitation of your business on our Website for the use of our products and services. You agree that your personal information may be monitored by us and a third party service provider. The Company may disclose any Confidential Information of the other party to its related companies, solicitors, auditors, insurers or accountants on a need-to-know basis and shall procure that such related companies, solicitors, auditors, insurers or accountants shall thereafter be under a duty of confidentiality.

 

Intellectual Property

The intellectual property rights for the materials on our Website including images, design, templates, format, documentation software or contents which is incorporated into the Website and the interface of our platform shall vest in the Company. 

 

Limitation of Liability 

Lazio Sofa (its employees, directors, representatives, agents, affiliates, parent company) to the extent permitted by law exclude all liability (whether express or implied arising in the contract, in negligence or otherwise) for any loss or damage which you or any third party may have incurred in connection to the use of our Website, services, products or any content or materials made available on it. Notwithstanding anything to the contrary in this Agreement, you agree to indemnify and hold Lazio Sofa, its officers, directors, employees, owners, agents, representatives and anyone else associated with the Company free and harmless from any and all claims (including, without limitation, third party claims), liabilities, costs, losses, damages, or expenses, including reasonable attorneys’ fees and expenses, arising in connection with the your use of the Website. These indirect and exemplary damages include damages for loss of data, work stoppage, loss of profits, system failure or malfunctions or any commercial damages or losses.

 

Disclaimer 

The buyer acknowledges that the Website may result in maintenance, outages and circumstances which are unenforceable on our part. As such, the Company does not warrant that the Website and its services will be uninterrupted or error-free. The buyer hereby agrees to assume all risk as to the quality and performance of the services and the performance of the website and that the Company shall not be held liable in the event of the system or service or the Website is unavailable to the buyer, Users or any parties involved for whatsoever reason. The Company will not accept any liabilities as a result of a failure due to a third party application or service, system or hardware failure, interference or any issues which may result in interruption to the service provided to the buyers. The Website including all functions, applications, content and modules in connection with the services provided to Sellers are provided “as-is” and will be subject to modifications, enhancements and upgrades from time to time without any warranties of any kind. 

 

Force Majeure

In any event of Force Majeure ie. act of God, war, act of foreign enemies, terrorists attack, riot, civil strikes, lockout, labour disturbance (including those involving or affecting the Company) or any other circumstances beyond the reasonable control of the Company, we shall not be liable for any delay or failure to provide any services to the Seller pursuant to any terms of the Agreement. If there is an anticipation due to a Force Majeure Event that may cause a delay or failure in providing the services, the Company reserves the right to suspend its obligation to perform to the full extent of our capacity. We reserve the right to suspend our services to the Users of our Website and the Company will not be held liable for any losses, damages or consequences arising that may affect the Sellers as a result of Force Majeure Event.

 

Indemnity

The buyer agrees to indemnify, defend, hold harmless of Lazio Sofa, its directors, officers, employees, representatives, agents, and affiliates, from any and all third party claims, liability, damages and/or costs (including reasonable attorneys’ fees) arising from your use of the Website, services or your breach of these Terms, any actions, liability or claims for personal injury, sickness, death or property damage, brought by any party in connection with the use of any offer, coupon, vouchers and/or any other services made available on the Website.

 

Termination

Lazio Sofa reserves the right to terminate, suspend or remove your account and access to our services and Website at our sole discretion in the event of any breach by you of the Terms. The Company shall be under no obligation to provide you a warning prior to the termination of your use of the Websites. The termination and suspension of your use shall and will not require us to compensate or cover any cost or damages or losses incurred by you. 

 

Jurisdiction

The Terms of this Agreement shall be governed and construed in accordance with the law of the Malaysian Courts. All disputes arising in connection with the performance of this Agreement shall be settled through friendly negotiations. If the parties are unable to resolve any such dispute within thirty (30) days after the commencement of negotiations, the parties agree to submit the dispute in accordance to the requirements by the Malaysian Courts for arbitration. In the event of a dispute, all conduct is concluded in English language. 

 

Legal Fees

If the Company is obligated to go to court to enforce any of its rights, or to collect any fees, you agree to reimburse the Company for its legal fees, costs and disbursements if the Company is successful in Court.

 

Assignability

You may not assign or transfer to anyone the rights granted to you in this Terms, without the Company’s prior written consent.

 

No Waiver

In the event of failure by the Company to enforce any provision of this Agreement, it will not be deemed a waiver of future enforcement of that or any other provision.

 

Entire Agreement

You acknowledge that you have read this Agreement, understand it and agree by its terms and conditions. You further agree that it is the complete and exclusive statement of the agreement between you and the Company, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and the Company in relation to the subject of this Agreement. The explanations in our FAQ’s and other explanations and content provided on www.laziosofa.com are for your information and knowledge only. These information are not, and shall not be construed as part of this agreement.
